Terms of Service

Effective date: April 25, 2026

These Terms of Service (the “Terms”) govern your access to and use of the AIrise application (the “Service”), available on the Shopify App Store and at airise.app, operated by AIrise (“AIrise”, “we”, “us”, or “our”). By installing AIrise on a Shopify store, signing in to the AIrise dashboard, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

These Terms are entered into between AIrise and the legal entity that owns the Shopify store on which AIrise is installed (“you” or “Merchant”). The natural person installing the app represents that they have authority to bind that entity to these Terms.

1. The Service

AIrise is a software-as-a-service tool for Shopify merchants. The Service helps merchants get their stores discovered by AI search engines by generating AI-readable artefacts including (but not limited to) llms.txt manifests, AI-optimised product feeds, JSON-LD structured data, AI crawler controls, and an AIrise visibility score.

Features available to your account depend on your subscription plan. AIrise may add, remove, or modify Service features over time. We will provide reasonable notice for material removals.

2. Accounts and Access

  • When you install AIrise from the Shopify App Store, an AIrise account is automatically provisioned for the Shopify merchant identity associated with your store.
  • You are responsible for maintaining the confidentiality of your AIrise credentials and for any activity that occurs under your account, whether or not authorised by you.
  • You must promptly notify us at [email protected] if you suspect any unauthorised use of your account.
  • The Service is intended for businesses; you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a legally binding contract to use it.

3. Acceptable Use

You agree not to, and not to permit any third party to, do any of the following:

  • Misuse the API. Send excessive, automated, or abusive traffic to the Service; circumvent rate limits; or interfere with the Service’s operation, integrity, or security.
  • Generate prohibited content. Use AIrise to publish content that is unlawful, infringing, defamatory, fraudulent, deceptive, hateful, harassing, sexually explicit involving minors, or otherwise violates applicable law.
  • Misrepresent products or store information. Use AIrise to fabricate certifications, materials, origins, prices, availability, or other product or store facts. AIrise relies on data sourced from your Shopify store; you are responsible for the accuracy of that source data.
  • Reverse engineer. Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law.
  • Resell. Sell, sublicence, white-label, or otherwise commercially redistribute the Service or any of its outputs in a manner that competes with AIrise, without our prior written consent.
  • Compromise security. Probe, scan, or test the vulnerability of the Service or any related infrastructure; introduce malware, viruses, or any code intended to damage or interrupt the Service.
  • Violate third-party rights. Use the Service in a manner that infringes the intellectual property, privacy, or other rights of any third party, including Shopify’s API Terms of Service.

We may suspend or terminate access for any breach of this section. Repeated or material violations may result in permanent termination without refund.

4. Subscription Plans and Shopify Billing

AIrise is offered on a subscription basis. Subscription fees, included features, and usage limits are described on the AIrise billing page and on the Shopify App Store listing. Plans currently include a Free tier and a Pro tier.

  • Shopify-managed billing. All paid subscriptions are billed through Shopify’s recurring application charge system. By approving a charge in your Shopify admin, you authorise Shopify to bill the payment method on file for your Shopify account, on a recurring 30-day cycle, until cancelled.
  • Charges appear on your Shopify invoice. AIrise does not directly process payment cards. All billing, refund, and tax matters are governed by your Shopify Merchant Terms of Service and Shopify’s standard billing rules.
  • Free trials. The Pro plan includes a 7-day free trial. The trial begins when you approve the recurring charge in Shopify. If you do not cancel before the trial ends, the plan will convert to a paid subscription at the listed price.
  • Test charges. Charges may be created in Shopify’s test mode while AIrise is under review or during development; test charges are not billed.
  • Plan changes. You may upgrade, downgrade, or switch to the Free plan at any time from the AIrise billing page. Changes take effect immediately. Downgrading cancels the underlying Shopify recurring charge.
  • No prorated refunds. Subscription fees are non-refundable except where required by law or where Shopify’s standard refund rules apply. Cancelling a paid plan stops future charges but does not refund fees already paid for the current billing period.
  • Taxes. Listed prices are exclusive of any applicable taxes, levies, or duties, which Shopify may apply to the charge based on your billing location.
  • Price changes. AIrise may change subscription pricing on at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Data Handling

Our handling of merchant data is governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary:

  • AIrise stores only the data needed to operate the Service (store metadata, product catalog, OAuth tokens, operational logs). We do not collect customer personal data, payment data, or buyer addresses.
  • Merchant data is hosted on managed infrastructure operated by Abacus.AI, encrypted in transit (TLS 1.2+) and at rest (AES-256).
  • We do not sell merchant data and do not share it with third parties for advertising, profiling, or training third-party AI foundation models.
  • Uninstalling the AIrise app from your Shopify admin triggers automatic deletion of your store’s data, including generated feeds and product records. Operational backups are purged on a rolling 30-day cycle.
  • You retain ownership of all merchant data you provide. You grant AIrise a limited, non-exclusive licence to process that data solely as necessary to provide the Service to you.

6. Intellectual Property

  • AIrise IP. The Service, including the AIrise software, dashboards, brand, logos, and supporting documentation, is the exclusive property of AIrise and its licensors and is protected by copyright, trademark, and other applicable laws. Subject to your compliance with these Terms, AIrise grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for the duration of your subscription.
  • Generated outputs. AI-rewritten product descriptions, generated llms.txt files, AI feeds, and JSON-LD schemas produced by the Service from your store data (“Generated Outputs”) are provided to you for use in connection with your store. You are responsible for reviewing Generated Outputs before publication and ensuring they accurately represent your business.
  • Feedback. If you submit feedback, ideas, or suggestions about the Service, you grant AIrise a perpetual, irrevocable, royalty-free licence to use them without restriction.

7. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by law.

AIrise specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Without limiting the foregoing, AIrise does not warrant:

  • that any AI search engine, large language model, crawler, or third-party platform will index, cite, recommend, rank, or otherwise feature your store as a result of using the Service;
  • that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected;
  • that Generated Outputs will be free from inaccuracies, omissions, or factual errors; or
  • that the Service will meet your specific business requirements.

You acknowledge that AI search visibility and rankings depend on factors outside AIrise's control, including third-party AI platforms’ own indexing decisions and policies.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will AIrise, its directors, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, lost business opportunity, or loss of goodwill, arising out of or in connection with the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if AIrise has been advised of the possibility of such damages.

In all cases, AIrise’s total cumulative liability for any and all claims arising out of or relating to the Service or these Terms, regardless of cause, will not exceed the greater of (a) the total subscription fees actually paid by you to AIrise (through Shopify) in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred US dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such cases the above limitations apply to the fullest extent permitted by law.

9. Termination

By you. You may terminate these Terms at any time by uninstalling the AIrise app from your Shopify admin, or by emailing [email protected] with a deletion request. Uninstalling stops future Shopify recurring charges and triggers automatic deletion of your store data as described in our Privacy Policy.

By AIrise. We may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms (including the Acceptable Use section), if your Shopify subscription is cancelled, if your payment fails or is reversed, if required by law, or if continued provision of the Service creates an unacceptable risk to AIrise or its users.

Effect of termination. On termination, your right to access and use the Service ceases. AIrise will delete your data in accordance with the Privacy Policy. Sections of these Terms that by their nature survive termination (including Sections 5–8, 10, and 11) will continue to apply.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the “Effective date” above and, where appropriate, by notice in the AIrise dashboard or by email to the merchant address on file at least 14 days before they take effect. Continued use of the Service after the effective date of an updated version constitutes acceptance of the changes. If you do not accept a change, your sole remedy is to uninstall the Service before the change takes effect.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Western Australia, Australia, without regard to its conflict-of-laws principles. The courts located in Perth, Western Australia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that AIrise may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AIrise with respect to the Service and supersede all prior or contemporaneous communications. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
